Terms and Conditions
Working as a Sub-Contractor for VIVRE CONTRACTORS LTD
1. Scope of Works
The Subcontractor agrees to undertake and complete all works assigned by VIVRE CONTRACTORS LTD as detailed in each specific job order or work instruction. No additional or varied work shall be undertaken without the prior written consent of an authorised representative of VIVRE CONTRACTORS LTD.
2. Site Conduct & Working Hours
2.1 The Subcontractor shall comply with all site-specific rules and procedures, including but not limited to health and safety requirements, signing in and out daily, wearing all mandatory personal protective equipment (PPE) and maintaining good conduct at all times.
2.2 Any conduct that compromises the safety, security, or reputation of VIVRE CONTRACTORS LTD or its clients may result in immediate removal from site and termination of engagement.
3. Notice Period
A minimum of one week’s written notice is required should the Subcontractor wish to cease work or terminate this engagement.
4. Quality of Work & Defects
4.1 All work must be completed in accordance with the standards, specifications and deadlines agreed with VIVRE CONTRACTORS LTD and its clients.
4.2 Should any work be found to be defective, incomplete or not in accordance with agreed specifications, the Subcontractor shall, at their own cost, promptly remedy such defects to the satisfaction of VIVRE CONTRACTORS LTD.
5. Tools, Materials & Security
5.1 The Subcontractor shall supply all necessary tools and equipment required to carry out the agreed works, unless otherwise stated in writing.
5.2 The Subcontractor remains fully responsible for the security, insurance and safekeeping of their own tools, equipment and personal belongings whilst on site.
5.3 VIVRE CONTRACTORS LTD accepts no liability whatsoever for any loss, theft or damage to tools, equipment or personal items brought onto site by the Subcontractor or their operatives.
6. Health & Safety Compliance
6.1 The Subcontractor must comply with all applicable UK health and safety legislation, including but not limited to the Health and Safety at Work etc. Act 1974, and all site-specific health and safety policies.
6.2 The Subcontractor must ensure that work is carried out in a safe and competent manner and shall immediately report any hazards, incidents or near misses to VIVRE CONTRACTORS LTD.
7. Non-Solicitation & Restrictive Covenant
The Subcontractor shall not, for a period of 12 months following their final day of work with VIVRE CONTRACTORS LTD, directly or indirectly approach, solicit, or accept work from any client, contractor or site contact introduced by VIVRE CONTRACTORS LTD, without prior written consent. In the event of breach, the Subcontractor agrees to pay a fee of £1,000 per worker engaged in breach of this clause.
8. Payment Terms & Withholding Rights
8.1 A deposit equivalent to two weeks’ labour may be retained by VIVRE CONTRACTORS LTD and released with the final payment, subject to satisfactory completion of works.
8.2 Weekly invoices must be submitted in line with agreed hours worked, accompanied by any required timesheets or authorisations.
8.3 Payments will be made weekly in arrears by bank transfer, subject to satisfactory performance.
8.4 VIVRE CONTRACTORS LTD reserves the right to withhold payment in full or in part for any works which are incomplete, not performed to the required standard, or which breach these terms.
9. CIS Compliance & Tax Obligations
9.1 The Subcontractor warrants that they are registered under the Construction Industry Scheme (CIS) and shall be solely responsible for their own income tax and National Insurance contributions.
9.2 The Subcontractor agrees to provide a valid Unique Taxpayer Reference (UTR) number and proof of CIS status prior to any payment being made.
10. Insurance Requirements
Where the Subcontractor is engaged as a company or supplies operatives, they shall maintain adequate and valid Public Liability Insurance and provide evidence to VIVRE CONTRACTORS LTD upon request.
11. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales and any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Acceptance
By accepting and commencing work, the Subcontractor confirms that they have read, understood, and agreed to these Terms & Conditions in full.
